Binding Agreement Notice

The digital entertainment services made available via our online platform (collectively, the "Platform") are designed solely for recreational use and do not qualify as real-money gambling under applicable federal, state, or local legislation. Participation in our services does not involve staking real currency, and all gameplay is structured purely for entertainment purposes.

This Terms of Service Agreement (the "Agreement") constitutes a legally binding contract between you (the "User", "you", or "your") and EverPrime. It governs your access to, utilization of, and interaction with all our digital offerings, including our websites, mobile applications, online games, user profiles, and all related features, tools, and services (collectively, the "Services").

By accessing the Services—such as checking an acceptance box during account creation, launching any of our games, or setting up a user profile—you confirm that you possess the legal capacity to enter into this Agreement, meet all age and eligibility criteria outlined in this document, and have read, understood, and unconditionally agreed to all its terms and provisions. This action signifies your irrevocable consent to be bound by the entirety of this Agreement.

1. Agreement Revisions & Incorporated Policies

1.1 Modifications to the Agreement

We retain the sole and absolute right to amend, update, revise, or replace any provision of this Agreement at any time and for any reason. Material changes, including alterations to eligibility criteria, geographic restrictions, or prize redemption terms, will be communicated to you via email at the address associated with your user account. The most current and enforceable version of this Agreement will always be prominently displayed on the Platform. Your continued use of the Services following the effective date of any update constitutes your unqualified acceptance of the revised Agreement.

1.2 Updates to Ancillary Policies

This Agreement incorporates by reference our supplementary policies (the "Ancillary Policies"), which include the Privacy Policy, Responsible Gaming Policy, and Official Sweepstakes Rules. These Ancillary Policies may be updated periodically at our discretion, with revised versions posted on the Platform. Your continued use of the Services after any such update indicates your acceptance of the revised Ancillary Policies.

1.3 Conflict Resolution

In the event of a direct inconsistency or conflict between the terms of this Agreement and any Ancillary Policy, the provisions of this Agreement shall take precedence to the fullest extent permitted by law.

2. Gameplay Mechanics & Virtual Item Terms

2.1 Virtual Currency Classification

The Services feature two distinct types of digital tokens (collectively, "Virtual Currency"), which may be obtained free of charge or, in limited cases, through authorized in-platform transactions. No purchase is ever required to access core gameplay or participate in sweepstakes-style promotions. The two categories of Virtual Currency are defined as follows:

Gold Coins: Our standard in-platform currency, intended exclusively for recreational gameplay and entertainment use on the Services. Gold Coin has no intrinsic monetary or cash value, cannot be exchanged for real currency, prizes, or any other tangible or intangible value, and is non-redeemable for any external benefits.

Sweepstakes Coins ("Sweeps"): Digital tokens usable only in designated sweepstakes-style games for the chance to win tangible prizes. Sweeps are obtained solely through free promotions, bonuses, or Alternative Entry Methods (AMOE)—purchases to acquire Sweeps are neither required nor permitted.

2.2 Limited Use License

Upon your strict compliance with all terms of this Agreement, EverPrime grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Services for personal recreational entertainment purposes only. This license confers no ownership rights; you do not acquire any title, interest, or ownership in the Services, any Virtual Currency, or any other element of the Platform (including graphics, software, or content). We reserve the right to revoke this license at any time, for any reason, with or without prior notice.

2.3 Virtual Currency & Account Transfer Restrictions

You are strictly prohibited from selling, trading, gifting, assigning, leasing, or otherwise transferring any Virtual Currency (Gold Coin or Sweeps) or your user account to any third party, whether for monetary or non-monetary compensation. Any violation of this provision will result in immediate disciplinary action, including but not limited to account suspension or termination, forfeiture of all Virtual Currency and unclaimed prizes, permanent ban from the Services, and pursuit of all applicable legal remedies.

2.4 Intellectual Property & Ownership

The Services are licensed, not sold. All right, title, and interest in and to the Services—including all intellectual property rights (copyrights, trademarks, patents, trade secrets, and moral rights)—remain the exclusive property of EverPrime and its licensors. You agree not to remove, alter, obscure, or modify any proprietary notices, trademarks, or copyright markings on or within the Services.

2.5 Prohibited Activities

You may not, and may not assist any third party to, engage in any of the following activities in connection with the Services:

• Copy, modify, adapt, translate, or create derivative works of any part of the Services;

• Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Services (except as expressly permitted by applicable law);

• Use the Services for any unlawful, fraudulent, harassing, defamatory, or abusive purpose, or to infringe upon the rights of any third party;

• Use automated systems, bots, scrapers, scripts, or other unauthorized tools to access, interact with, or extract data from the Services;

• Interfere with the normal operation of the Services, including disrupting server functionality or circumventing security measures;

• Exploit bugs, glitches, or technical errors in the Services for personal gain or to obtain unauthorized Virtual Currency or prizes.

3. Prize Redemption & Sweepstakes Parameters

3.1 Jurisdictional Prize Caps

Maximum prize values for individual game rounds are subject to regional statutory limits, and any prize amount exceeding these caps will be automatically reduced to the applicable maximum. The current jurisdictional prize caps are as follows:

• California, New York, Alabama, Florida: USD $5,000 per game round

• Texas: USD $1,000 per game round

• New Jersey: USD $10,000 per game round

3.2 General Redemption Limits

We reserve the right to impose additional reasonable prize redemption limits at our sole discretion to ensure legal and operational compliance. These limits may include, but are not limited to, a maximum redemption of USD $10,000 per user per calendar day. All redemption limits are posted on the Platform and may be updated periodically with prior notice.

3.3 Alternative Entry Methods (AMOE)

Eligible users may acquire Sweeps without any purchase or financial transaction through our official Alternative Entry Methods (AMOE), which are designed to uphold the "no purchase necessary" requirement for sweepstakes participation. The use of automated tools, fraudulent tactics, or unauthorized methods to obtain Sweeps via AMOE is strictly prohibited. Full details of the AMOE are set out in our Official Sweepstakes Rules; the core methods are as follows:

3.3.1 Postal AMOE

Legibly handwrite the following information on a blank, unlined 4" x 6" index card: your full legal name, residential address linked to your account, registered account email address, your unique account Postal Entry Code, and the exact statement: "I request Currencies to participate in the sweepstakes and confirm I have read and agree to the Terms of Service and Sweepstakes Official Rules." Mail the sealed card to: Sweepstakes Entry Request, 1908 Thomes Ave, Cheyenne, WY 82001. Each valid, individually mailed request will be awarded 0.2 Sweeps. Bulk mailings, illegible submissions, or incomplete cards are void.

3.3.2 Online AMOE

Request access to our secure online AMOE form by contacting our customer support team at [email protected]. Access is subject to account verification, and all submissions must adhere to the instructions provided by our support team. 4. User Eligibility & Geographic Restrictions

Your right to access and use the Services is conditional on your ongoing compliance with this Agreement and all applicable laws. To be eligible, you must meet the following non-negotiable requirements:

4.1 Age & Legal Capacity

You must be at least twenty-one (21) years of age, or the age of legal majority in your jurisdiction of residence (whichever is higher), and have the legal authority to enter into this binding contract.

4.2 Legal Compliance

You are solely responsible for ensuring that your use of the Services complies with all local, state, and federal laws, statutes, rules, and regulations applicable to your physical location and jurisdiction of residence.

4.3 Account Responsibility for Minors

You must prevent any individual under the eligible age from accessing or using the Services via your account. You are fully and solely liable for all activity, transactions, and violations that occur through your account, including use by minors.

4.4 Restricted Geographic Regions

Access to the Services is strictly prohibited for any user physically located in the following U.S. states, under all circumstances: California, Connecticut, Idaho, Louisiana, Michigan, Montana, Nevada, New Jersey, and the state of New York. Service access is only permitted for users physically located in authorized U.S. jurisdictions (Permitted States).

4.5 Personal Use Only

The Services are for personal recreational use only. Commercial use, fraudulent activity, or the use of unauthorized automated software to interact with the Services will result in immediate account suspension, invalidation of all gameplay and prizes, and a permanent ban from the Services.

4.6 Single Account Rule

Each individual is permitted to create and maintain only one (1) active user account on the Platform. The creation of multiple accounts, whether for personal use or on behalf of a third party, is strictly prohibited and will result in the termination of all associated accounts.

5. Geographic Verification & Anti-Circumvention

Use of the Services is permitted only from authorized lawful jurisdictions, and we utilize industry-standard geolocation and fraud detection technologies to verify your physical location, including GPS, IP address, and device identifier analysis.

You are strictly prohibited from attempting to mask, falsify, or alter your physical location or device information using any technology, including but not limited to virtual private networks (VPNs), proxy servers, emulators, IP-spoofing tools, or location-changing software.

Any attempt to circumvent our geolocation or security measures will result in immediate disciplinary action, including but not limited to temporary or permanent account suspension, forfeiture of all Virtual Currency and unclaimed prizes, invalidation of all sweepstakes entries, and a permanent ban from the Services.

6. User Profile Management

6.1 Accurate Profile Information

You are responsible for maintaining accurate, up-to-date, and complete information in your user profile, including your name, address, email, and phone number. We reserve the right to suspend account access if profile information is found to be false, outdated, or incomplete.

6.2 Account Security

You must safeguard your account login credentials (username, password, and two-factor authentication details) and are solely responsible for all activity that occurs under your account, whether authorized or unauthorized. You agree to report any suspected unauthorized account access to our support team immediately at [email protected].

6.3 Inactive Account Deactivation

User profiles that remain inactive for 60 consecutive days (with no login or gameplay activity) may be deactivated at our sole discretion. Deactivated accounts may be reactivated upon verification, but unclaimed Virtual Currency may be forfeited for inactive accounts.

6.4 Account Closure & Suspension

Voluntary Closure: You may request permanent account closure by contacting our support team. Upon closure, all Virtual Currency (Gold Coins and Sweeps), unclaimed prizes, and account data will be forfeited and irretrievably deleted. Involuntary Suspension/Termination: We reserve the right to suspend or terminate your account at our sole discretion, with or without notice, for any violation of this Agreement, applicable law, or our Ancillary Policies.

7. Game-Specific Rules

Individual games on the Platform may have unique, game-specific rules, including gameplay mechanics, prize eligibility, and Virtual Currency usage. These rules are accessible within the game interface and are incorporated into this Agreement by reference. You are responsible for reviewing and understanding all game-specific rules before participating in any gameplay.

8. Identity & Location Verification

To ensure compliance with eligibility requirements, geographic restrictions, and anti-fraud measures, we may require you to complete mandatory identity and location verification checks at any time, including during account creation, prize redemption, or gameplay. These checks may include submitting:

• A government-issued photo identification (e.g., driver's license, passport);

• Proof of residential address (e.g., utility bill, bank statement);

• Additional documentation as required to verify your identity or location.

Access to the Services, including prize redemption, may be restricted or suspended until verification is satisfactorily completed. Failure to provide the requested documentation within 40 calendar days of the request may result in permanent account deactivation.

By using the Services, you consent to our use of third-party verification services to confirm your identity and location, and to the activation of device location services (GPS) for geographic verification purposes.

9. Intellectual Property Rights

You acknowledge and agree that all intellectual property rights in and to the Services—including software, code, graphics, artwork, trademarks, trade names, content, and game mechanics—are the exclusive property of EverPrime or its authorized licensors. No provision of this Agreement transfers any intellectual property rights to you, and all rights not expressly granted to you are reserved by EverPrime.

10. User-Submitted Content

Any content you post, upload, submit, or share on the Services (including comments, feedback, and gameplay content, collectively "User Content") is your sole responsibility. You agree not to submit User Content that is unlawful, infringing, defamatory, harassing, obscene, or otherwise objectionable, or that violates the rights of any third party.

By submitting User Content to the Services, you grant EverPrime a perpetual, worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, distribute, and display such User Content in connection with the operation, promotion, and improvement of the Services, in any format and on any platform.

We may remove or modify any User Content at any time, for any reason, with or without notice, but we have no obligation to monitor or moderate User Content on the Services.

11. Third-Party Services & Links

The Platform may contain hyperlinks to third-party websites, applications, or services that are not owned or controlled by EverPrime. We do not endorse, sponsor, or accept any liability for any third-party services, and your interaction with these services is at your sole risk. You are responsible for reviewing and complying with the terms of service and privacy policies of all third-party services you access through the Platform.

12. Service Disclaimers

THE SERVICES ARE PROVIDED TO YOU "AS IS" AND "AS AVAILABLE", WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EVERPRIME DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND COURSE OF DEALING.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at any specific time. In the event of a system error, discrepancy, or dispute regarding gameplay or prize eligibility, server data and records shall be deemed the definitive and binding source of truth.

13. Liability Limitations & Indemnification

13.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVERPRIME SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, OR USE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our aggregate total liability to you for any claim arising out of this Agreement or the Services shall not exceed the total amount you have paid to EverPrime in the 180 calendar days immediately preceding the date of the claim. If you have not paid any amount to us, our total liability shall be limited to nominal damages of USD $1.00.

13.2 Indemnification

You agree to defend, indemnify, and hold harmless EverPrime, its parent companies, affiliates, employees, executives, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or in connection with:

• Your use of the Services or violation of this Agreement;

• Your breach of any applicable law or the rights of any third party (including User Content);

• Your participation in sweepstakes or redemption of prizes.

This indemnification obligation shall survive the termination or expiration of this Agreement.

14. Dispute Resolution & Arbitration

14.1 Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law principles.

14.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement, the Services, or your use of the Platform shall be resolved by final, binding arbitration administered by:

• The American Arbitration Association (AAA) under its Commercial Arbitration Rules, for users located within the United States;

• The Singapore International Arbitration Centre (SIAC) under its Arbitration Rules, for users located outside the United States.

Arbitration shall be conducted in the English language, and the seat of arbitration shall be Denver, Colorado (for U.S. users) or Singapore (for non-U.S. users). The arbitrator's decision shall be final and binding on all parties, and judgment on the award may be entered in any court of competent jurisdiction.

14.3 Mass Action Waiver

THIS IS A MATERIAL TERM OF THIS AGREEMENT: YOU AND EverPrime AGREE TO RESOLVE ALL DISPUTES ON AN INDIVIDUAL BASIS ONLY. NEITHER PARTY MAY INITIATE OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION (INCLUDING AS A PRIVATE ATTORNEY GENERAL) AGAINST THE OTHER PARTY, WHETHER IN ARBITRATION OR COURT. THIS WAIVER APPLIES TO ALL DISPUTES, INCLUDING THOSE THAT ARISE BEFORE THE EFFECTIVE DATE OF THIS AGREEMENT.

14.4 Arbitration Opt-Out

You may opt out of the arbitration and mass action waiver provisions in this Section 14 by sending a signed, written opt-out notice to [email protected] within 30 calendar days of your initial acceptance of this Agreement. The notice must include your full legal name, residential address linked to your account, and a clear, unambiguous declaration that you are opting out of the arbitration provisions.

Important Note: Opting out of the arbitration provisions will result in the immediate termination of your access to the Services and Platform—no exceptions will be made.

15. General Provisions

15.1 Entire Agreement

This Agreement, together with all incorporated Ancillary Policies and game-specific rules, constitutes the entire and exclusive agreement between you and EverPrime with respect to the Services, and supersedes all prior oral or written agreements, representations, and understandings between the parties.

15.2 Tax Liability

You are solely responsible for all federal, state, local, and international taxes (including income, gift, and sales taxes) that arise from your use of the Services, redemption of prizes, or acquisition of any value from the Platform. EverPrime may be required by law to report prize winnings to tax authorities and to withhold taxes from prize disbursements, where applicable.

15.3 Assignment

You may not assign, transfer, or delegate any of your rights or obligations under this Agreement to any third party, whether for monetary or non-monetary consideration. Any attempted assignment shall be null and void. EverPrime may assign, transfer, or delegate its rights and obligations under this Agreement freely, at any time, and for any reason.

15.4 Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions of this Agreement shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable, consistent with the original intent of the parties.
